Terms of Service

Effective date: 31 July 2026

These Terms of Service ("Terms") govern your access to and use of the PJ-OS platform (the "Platform"), operated by CharterFlow Systems ("we", "us"). By creating an account or using the Platform you agree to these Terms and to our Liability Disclaimer, which forms part of these Terms. If you do not agree, do not use the Platform.

1. The service

PJ-OS is a workflow platform for private aviation charter brokers and operators. It provides tools for managing enquiries, quotes, clients, operators, documents, contracts, invoicing, KYC workflows and related business administration. We are a software provider only: we are not a party to, and do not broker, arrange, or operate, any charter flight or any agreement between brokers, operators, and their clients.

2. Accounts and eligibility

You must provide accurate information when registering and keep your account credentials secure. You are responsible for all activity under your account. Accounts are for business use by charter brokers, operators, and their authorised staff. We may suspend or terminate accounts that breach these Terms or applicable law.

3. Document and contract templates

The Platform includes document and contract templates (including charter agreement templates and quote documents) ("Templates"). Templates and all other Platform content are our intellectual property or that of our licensors and are protected by copyright. We grant you a limited, non-exclusive, non-transferable licence to use and adapt the Templates solely for your own business transactions created, issued, and managed through the Platform. You may not copy, extract, reproduce, adapt, redistribute, or use the Templates, their clauses, or derivatives to prepare contracts outside PJ-OS, nor may you provide them to another person for that purpose. You may not resell or offer them as standalone products. We may suspend or terminate access for a breach and may pursue available legal remedies, including damages and injunctive relief.

Templates are provided for convenience only and do not constitute legal advice. Laws differ by jurisdiction and by transaction. You are solely responsible for ensuring any document you issue is suitable, complete, and legally valid for your purposes, and you should have documents reviewed by your own legal counsel before relying on them.

4. Your content and uploaded documents

You retain ownership of content you upload (including your own contract PDFs, client data and correspondence). You grant us a licence to host and process it solely to provide the Platform. You are responsible for having the rights to upload it and for its accuracy and legality. Document "verification" on the Platform confirms only the identity, status, and lifecycle of a document record issued or recorded through PJ-OS. For documents you upload yourself, verification does not mean we created or approved the source terms. Verification never certifies legal content, enforceability, or signature validity.

5. Transactions between users

All charter transactions, contracts, payments between brokers, operators, and clients, and any disputes arising from them, are solely between those parties. We do not verify the identity, licensing, insurance, creditworthiness, or performance of any user or counterparty, and KYC/AML tooling on the Platform assists your own compliance processes but does not replace them.

6. Fees and billing

Paid plans and usage-based fees are billed as described at checkout. Fees are non-refundable except where required by law. We may change pricing with reasonable prior notice; changes apply from your next billing period.

7. Acceptable use

You must not use the Platform unlawfully, infringe others' rights, upload malicious code, attempt to access other tenants' data, or use the Platform to send unlawful or deceptive communications.

8. Disclaimers and limitation of liability

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential loss, loss of profits, loss of business, or for any loss arising from any charter transaction, contract, document, or dealing between you and any third party. Our total aggregate liability arising out of or relating to the Platform is limited to the fees you paid to us in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law. See the Liability Disclaimer for further detail.

9. Termination

You may stop using the Platform at any time. We may suspend or terminate access for breach of these Terms. On termination you may request an export of your data within 30 days, after which we may delete it in line with our retention practices.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified in the app or by email; continued use after the effective date constitutes acceptance.
